We are seeking a midlevel tax professional from a highly regarded law firm, public accounting firm or corporation who is seeking a career change and is interested in joining the dynamic Transactional Liability team of Berkshire Hathaway Specialty Insurance Company. The Transactional Liability team evaluates risks associated with Mergers & Acquisitions and other corporate transactions and provides: (i) Representations & Warranties Insurance; (ii) Tax Insurance; and (iii) Contingent Liability Insurance (e.g., litigation buy-outs and other known risk matters). The candidate will be an integral part of the rapidly growing Tax Insurance practice of the Transactional Liability team based out of our New York City office location.The candidate will utilize tax acumen and skills to assess and analyze tax risks and recommend appropriate tax insurance policy terms and conditions (e.g., premium rate, coverage exclusions). Prior insurance experience is a plus but is not required.Duties & Responsibilities:* Review and analyze opportunities for tax insurance involving a wide variety of tax issues, including those arising in M&A transactions (e.g., historic tax exposures or qualification for tax basis step-up), the eligibility of tax equity investments for the projected renewable energy and other tax credits, the tax treatment of restructuring transactions (including spin-offs and recapitalizations), REIT and S corporation qualification matters, the character or other classification of income and deductions (e.g., capital or ordinary, Subpart F income), tax treaty questions, and many other U.S. and international direct and indirect tax issues.* Evaluate the results and adequacy of tax opinions and memoranda, due diligence reports, transaction documents and other information provided with tax insurance submissions.* Draft and negotiate tax insurance policy contract language (no prior policy drafting experience necessary).* Work closely in a collaborative team environment and with brokers, customers and outside tax advisers.* Assist other team members in the analysis of tax-related exposure in M&A transactions.* Ensure appropriate file documentation and compliance.* Work in a fast-paced environment, multi-task and make quick and independent decisions.* Maintain awareness of the competitive environment in, and the unique risk profile of, the product line.Qualifications, Skills and Experience:* JD with 4-8 years of tax experience at a highly regarded law firm, public accounting firm or corporation (or any combination of the foregoing); Tax LLM will be a plus; and* Must be collaborative and team-focused with strong interpersonal, communication and negotiation skills.BHSI Offers:* A competitive package and exciting growth opportunities with a growing global organization* A liberating, fast-paced culture, centered on always doing the right thing for our customers, teammates and our business* A purposely non-bureaucratic organization that embraces simplicity over complexity, encourages innovation, and emphasizes individual excellence in a team frameworkLEARN MORE ABOUT OUR UNIQUE CULTURE AND HISTORYNOTE: Compensation will be commensurate with experience.
